Terms of Service

1. Acceptance of Terms

By accessing or using the SellAIBots platform ("Service"), operated by Magic Life LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We may update these Terms at any time; continued use after changes constitutes acceptance of the revised Terms.

2. Account Terms

You must be at least 18 years old and a legal entity or authorized representative to create an account. You are responsible for:

• Maintaining the security of your account credentials.
• All activity that occurs under your account.
• Ensuring the information you provide is accurate, current, and complete.
• Compliance with all applicable laws in your jurisdiction.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive activity.

3. Platform Usage

The Service provides a white-label AI chatbot platform for agencies. You may use the Service to:

• Create, configure, and deploy AI chatbots for your clients.
• Manage client accounts through the multi-tenant dashboard.
• Collect payments from your clients via integrated billing.
• Access analytics and reporting features included in your plan.

You agree not to use the Service for any unlawful purpose, to distribute malicious content, to attempt to reverse-engineer the platform, or to resell platform access outside the authorized white-label model.

4. Payment Terms

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by applicable law. You agree to:

• Pay all fees associated with your selected plan on time.
• Provide valid and current payment information.
• Accept that pricing may change with 30 days' prior written notice.

If payment fails, we may suspend your account after a 7-day grace period and reasonable notification attempts. Overdue amounts may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. White-Label Rights

Subject to your active subscription and compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to:

• Present the Service to your clients under your own brand name.
• Customize the client-facing dashboard with your logo, colors, and domain.
• Set your own pricing for services delivered through the platform.

You may not sublicense the white-label rights to third parties, claim ownership of the underlying technology, or misrepresent the nature of the Service.

6. Intellectual Property

The Service, including all software, design, content, trademarks, and documentation, is and remains the exclusive property of Magic Life LLC. Your subscription grants a limited license to use the Service, not ownership. You retain ownership of all content you upload, including client data and knowledge bases. We claim no intellectual property rights over your content.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGIC LIFE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

8. Termination

Either party may terminate this agreement at any time:

• You may cancel your subscription through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.
• We may suspend or terminate your account immediately for material breach of these Terms, fraudulent activity, or non-payment.

Upon termination, we will make your data available for export for 30 days. After that period, we may delete your data in accordance with our data retention policies.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in the State of Florida, and you consent to the personal jurisdiction therein.
